These Terms and Conditions (“Terms”) govern your access to and use of theslabstudio.com (the “Site”) and the related services, communications and showroom visits offered by Lilly Industries, Inc., doing business as The Slab Studio (“The Slab Studio,” “we,” “us,” or “our”). By accessing or using the Site, submitting a form, or scheduling a visit, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Please read Section 15 carefully. It contains a binding arbitration agreement and class action waiver that affect how disputes are resolved.

1. Eligibility and Trade-Only Access

The Slab Studio is a trade-only gallery. Our products and pricing are offered to qualified trade professionals, including architects, interior designers, contractors, builders, fabricators and authorized dealers. You must be at least 18 years old and able to form a binding contract to use the Services.

We may require proof of trade status, such as a business license, contractor’s license, seller’s permit or resale certificate, before providing pricing, holds or sales. We may approve, decline, suspend or end any trade or dealer account at our discretion. Homeowners and members of the public may view the Site and may visit with or through a qualified trade professional.

3. Natural Stone Disclaimer

Natural stone and semi-precious materials are products of nature. Each slab is unique and will vary in color, veining, pattern, texture, movement and finish, including within the same lot or bundle. Natural characteristics may include fissures, pits, inclusions, dry seams, color variation and resin-filled areas, which are part of the material and are not defects.

Photographs, videos, samples and descriptions on the Site and in our communications are for general reference only. Colors and details may appear differently depending on lighting, photography and screen settings. We strongly recommend viewing and approving actual slabs in person before purchase. Semi-precious and other specialty materials may have additional care, handling and application limits, which we will share on request.

Health and safety notice. Cutting, grinding, drilling, polishing or otherwise fabricating natural stone can release respirable crystalline silica dust. Inhaling this dust can cause serious lung disease, including silicosis. Anyone fabricating or installing our products must follow applicable Cal/OSHA and OSHA silica standards, use wet-cutting methods and dust controls, and wear appropriate respiratory protection.

California Proposition 65 WARNING: Natural stone products can expose you to chemicals including crystalline silica (airborne particles of respirable size), which is known to the State of California to cause cancer. For more information, go to www.P65Warnings.ca.gov.

4. Product Information, Availability and Pricing

We work to keep Site content accurate, but we do not warrant that product descriptions, dimensions, thicknesses, finishes, images, availability or other content are complete, current or error-free. Inventory changes frequently, and items shown on the Site, including Studio Specials, may be sold, reserved or discontinued without notice.

Prices, promotions and Studio Specials shown or communicated are subject to change and are not offers to sell. A sale is binding only when confirmed in a written quote, invoice or order acknowledgment issued by The Slab Studio. We reserve the right to correct errors and to limit or refuse any order.

5. Quotes, Holds, Orders and Payment

Quotes are valid for the period stated on the quote, or 30 days if no period is stated. Slab holds are temporary and are released on the date stated by our team unless converted to a paid order. Orders, deposits, payment terms, delivery, pickup, storage, title, risk of loss and returns are governed by the terms on our quotes, invoices and any separate dealer or trade agreement. If those documents conflict with these Terms, those documents control for that transaction.

Unless otherwise stated in writing, all sales of natural stone slabs are final once the slab has been selected, cut, fabricated, picked up or delivered. You are responsible for inspecting slabs before they leave our facility and reporting visible damage at that time.

6. Fabrication and Installation

The Slab Studio supplies materials. We do not fabricate or install products unless expressly agreed in writing. Fabricators, installers and contractors are independent third parties, and we are not responsible for their workmanship, measurements, templates, sealing, structural support or installation methods. You are responsible for confirming that selected materials are suitable for your intended application, including exterior, wet-area, high-traffic, heat-exposed and backlit uses.

7. Showroom Visits

Showroom visits may require an appointment. For your safety, follow staff instructions, do not move, lift or handle slabs, keep children under close supervision, and stay in designated walkways. Slabs are heavy and can cause serious injury. You visit our facility at your own risk to the fullest extent permitted by law, and you are responsible for any damage you or your guests cause.

When you submit a form on the Site or through an advertising platform (such as a Facebook or Instagram lead form), you agree that we may contact you by email, phone or text message about your inquiry, appointment or project. If you separately opt in to marketing messages, we may send you news, offers and updates. You may opt out of marketing emails using the unsubscribe link and out of text messages by replying STOP. Consent to marketing messages is not a condition of purchase. Message and data rates may apply. See our Privacy Policy for details.

9. Submissions and Feedback

If you send us photos, drawings, project details, reviews, suggestions or other materials (“Submissions”), you confirm you have the right to share them. You grant us a non-exclusive, royalty-free, worldwide license to use Submissions to respond to you and provide the Services. If you submit photos of completed projects featuring our materials and agree to their use, you grant us a license to use, reproduce and display them in our marketing, with credit where practical. We will not publish identifying details about a private residence without permission.

10. Intellectual Property

The Site and its content, including text, slab and project photography, videos, graphics, logos, the names “The Slab Studio” and “Nature’s Art Gallery,” and the design and arrangement of the Site, are owned by or licensed to The Slab Studio and protected by copyright, trademark and other laws. You may view and print Site content for your personal or internal business use in evaluating our products. Trade customers may share our product images with their own clients solely to present products purchased or being considered for purchase from The Slab Studio. All other use requires our prior written permission.

The Site may contain links to or content from third parties, including social media platforms, mapping services and affiliated brands. We do not control and are not responsible for third-party sites, content, products or practices. Your use of them is at your own risk and subject to their terms.

12. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE AND ITS CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. ANY WARRANTY ON PRODUCTS IS LIMITED TO THE WARRANTY, IF ANY, STATED IN WRITING ON OUR INVOICE OR SALES DOCUMENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SLAB STUDIO AND ITS AFFILIATES, OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). LIABILITY FOR PRODUCTS PURCHASED IS LIMITED AS STATED IN THE APPLICABLE SALES DOCUMENTS AND WILL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify and hold harmless The Slab Studio and its affiliates, owners, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your Submissions, your violation of these Terms or any law, or your infringement of any third party’s rights.

15. Dispute Resolution, Arbitration and Class Action Waiver

Informal resolution. Before filing any claim, you agree to contact us at info@theslabstudio.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Any dispute arising from or relating to the Site or these Terms that is not resolved informally will be resolved by binding individual arbitration administered by JAMS under its applicable rules, in Orange County, California, unless the parties agree otherwise. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

Class action waiver. You and The Slab Studio agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding.

Opt-out. You may opt out of this arbitration agreement by emailing info@theslabstudio.com within 30 days of first accepting these Terms, stating your name and that you opt out.

Sales documents. Disputes regarding a specific purchase are governed by the dispute terms, if any, in the applicable quote, invoice or dealer agreement.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. For any matter not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the “Last Updated” date. Your continued use of the Site after changes are posted means you accept the updated Terms.

18. Termination

We may suspend or end your access to the Site or any account at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 9 through 16.

19. General

These Terms, together with our Privacy Policy and any applicable quotes, invoices or dealer agreements, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them without restriction. Section headings are for convenience only.
